Yes. All our ready-made companies were incorporated by us and have never traded, so they have no business history, liabilities or debts. In the transfer documents we contractually guarantee this and provide clean-debt declarations and current register extracts.

How quickly can I start doing business?

You can usually act for the company almost immediately. After a power of attorney and the transfer documents are signed before a notary, the company is normally handed over within 24 hours. We handle the notarial deed and Commercial Register filings for you.

What is included in the company price?

The price includes a registered-seat change within Prague, change of managing director and shareholder, court fees and a free trade licence. If you also need a company-name change or a seat outside Prague, a notarial deed is required for an extra fee, which we confirm in advance.

A ready-made company already has an IČ and is entered in the register, so you can act within 24 hours and may choose an older company by registration date. Tailor-made formation creates a completely new company according to your wishes and is cheaper; VAT is added to formation and seat prices, while ready-made prices are final.

A ready-made s.r.o. with a FIRMIN registered seat starts at 14 900 Kč, or 17 900 Kč with your own seat. An a.s. starts at 59 900 Kč with a FIRMIN seat and 62 900 Kč with your own seat. Prices are final and include the free trade licence and court fees; DPH is not added.

Can I also buy a joint-stock company (a.s.)?

Yes. Besides ready-made s.r.o. companies, we also offer ready-made a.s. companies with paid-up share capital, prepared for immediate transfer. The price starts at 59 900 Kč with a FIRMIN registered seat. As with s.r.o. companies, they have never traded, have an IČ and have no liabilities.

Are ready-made companies VAT payers?

Accepted Answer

Normally no. Our ready-made companies have never traded, so they are not registered for DPH. The new owner may register voluntarily or become obliged to register after reaching the statutory turnover. If you need a company that is already registered for DPH, contact us.

How much does s.r.o. formation cost?

Accepted Answer

Tailor-made s.r.o. formation starts at 12 900 Kč with a FIRMIN registered seat in Prague, or 15 900 Kč with your own seat. The price includes court and notary fees and trade licence notification. Prices exclude DPH at 21%; we always confirm the final amount in advance.

We prepare the founding documents and memorandum of association, arrange the notarial deed, notify free trades at the Trade Licensing Office, file the Commercial Register application and pay the court fee. In short, we take over the administration and communication with authorities.

With direct registration by a notary, a tailor-made s.r.o. can be entered in the Commercial Register within 24 hours after the founding documents are signed. The speed mainly depends on how quickly you provide the required information; we handle the administration and authorities.

What is the minimum share capital of an s.r.o.?

The statutory minimum share capital is only 1 Kč per share. In practice, many founders choose a higher amount because it looks more credible to business partners and banks. We can discuss a suitable level for your plans.

Yes. That is the main benefit of tailor-made formation: you choose the name and business activity yourself. We check whether the name is available and permitted, and we notify the relevant free trades. All sold and newly formed companies use free trades.

We receive mail delivered to your registered-seat address and inform you by email without delay. You can collect items in person, or we can forward or scan them for an extra fee. This helps ensure important official mail is not missed.

Will I receive owner consent for registering the seat?

Yes. To register the seat in the Commercial Register, the registry court needs the property owner consent to place the registered seat at the address. We issue this consent with an officially certified signature as part of the service.

Can my registered seat be in Prague while my office or home is elsewhere?

Accepted Answer

Yes. The registered seat and the place where you actually work can be different. You may have a Prague registered address and an office, warehouse or home anywhere in Czechia. The seat is mainly for register entry and delivery of official correspondence.

Contracts are concluded for 6, 12, 24 or 36 months. The longer the commitment, the lower the monthly price, so the listed "from" price applies to the longest term. The best monthly rate is for 36 months.

We provide registered seats for new and existing s.r.o. companies as well as sole traders. The address can be used as a registered seat in the Commercial Register or Trade Register and as a contact address for authorities.

Yes. If you already have a company and want to move its seat to our address, we prepare the documents and application for the Commercial Register. You can also move the seat elsewhere later. Without a notary, we can usually handle a change of managing director or shareholder, and often a seat change within the same municipality. A notarial deed is usually needed for a company-name change, a change in the number of managing directors, division of a share and often changes to business activities. A share transfer does not require a notary, but the transfer agreement adds 1 000 Kč. We confirm the need and price in advance.

Simple changes without a notary start at 1 490 Kč + DPH, plus a 2 000 Kč court fee. Changes with a notarial deed start at 8 990 Kč + DPH and include the notary and register entry. A share transfer increases the price by 1 000 Kč for the transfer agreement. We always confirm the specific price in advance.

How do I change the managing director in an s.r.o.?

The shareholders approve the change by decision; in a single-member s.r.o., the sole shareholder decides. The new managing director provides consent to appointment and a declaration. The filing is usually made to the registry court without a notary. We prepare all documents and the application; you then file it and pay the 2 000 Kč court fee. Entry is usually made within 5 working days.

Where is the application for a register change filed?

The application is filed with the registry court, which is the regional court according to the company seat; for Prague companies it is the Municipal Court in Prague. If a notarial deed is required, the notary makes the entry directly under a power of attorney. For simpler changes, we prepare the application and documents, and you file them with the court and pay the 2 000 Kč fee.

Yes. If you change, for example, the managing director, registered seat and business activity at the same time, we combine everything into one filing. This saves time and costs compared with separate applications.

What conditions must an employment agency meet?

Accepted Answer

The main condition is a permit for employment intermediation, issued since 1 January 2024 by the Ministry of Labour and Social Affairs (MPSV). For temporary agency work, the applicant must also deposit a 1 000 000 Kč security. The agency needs a responsible representative with professional competence and integrity, must prove integrity and no debts, and must have a seat in Czechia. A free trade licence alone is not enough. The conditions are set by Act No. 435/2004 Coll., on employment.

What security deposit must an employment agency pay?

The security deposit is 1 000 000 Kč and is paid by the applicant for a temporary-work agency permit under Section 14(1)(b). From 1 January 2024 it increased from 500 000 Kč to 1 000 000 Kč under Act No. 408/2023 Coll. It is paid to a special account and protects wage claims of temporarily assigned employees. The client pays it directly; FIRMIN does not pay the deposit but helps prepare the company and application.

How long does it take to obtain the employment intermediation permit?

The timing depends on the MPSV administrative procedure and the completeness of documents, so expect weeks rather than days. In some cases, especially involving foreigners, the Ministry of the Interior gives a binding opinion, which can extend the process. We can prepare the company and application quickly, but the permit and deposit depend on the client and the authority.

Do I need a responsible representative and who can it be?

Yes. A responsible representative is required for the permit. This is a natural person who proves the required education or experience and integrity under Act No. 435/2004 Coll. It can also be the managing director if the conditions are met. If you do not have a suitable person, we can advise and help with the appointment.

The price is set individually according to the scope and always in advance. It depends on whether we form a new company or adjust an existing one, and how much help is needed with the responsible representative and permit application. Do you also have employment agencies for sale?

No, we do not keep ready-made employment agencies with a permit in stock. Unlike ordinary ready-made companies, the permit is tied to meeting conditions and assessment by MPSV, so it cannot be prepared in advance for sale. This is a tailor-made service: based on your enquiry, we prepare the company, help meet the conditions and arrange the permit application.
